Terms of service
These Terms and Conditions of Sale (“Terms”) govern all sales made by Tool Mart Supply (“Seller,” “we,” or “us”) through our website www.toolmartsupply.com (the “Site”) to you (“Customer” or “Buyer”). By placing an order, you agree to be bound by these Terms.
1. Orders and Acceptance
All orders are subject to acceptance by Seller. We reserve the right to reject any order for any reason, including errors in pricing, product availability, or fraudulent activity.
Seller’s acceptance occurs when we send an email confirmation or ship the product. Orders cannot be canceled once processing has begun unless approved by Seller.
2. Prices and Payment
Prices are in U.S. Dollars (USD) and subject to change without notice. We reserve the right to correct typographical or pricing errors.
Payment is due at the time of order placement via approved payment methods (credit card, PayPal, etc.). Buyer agrees to pay all applicable federal, state, and local taxes associated with their purchase.
3. Shipping, Delivery, and Title
All shipments are F.O.B. Origin (freight on board), meaning title and risk of loss transfer to Buyer upon delivery to the carrier.
Shipping charges are prepaid and added to your invoice unless otherwise agreed. Seller is not responsible for delays caused by carriers, strikes, weather, or force majeure events.
4. Returns and Cancellations
Seller may, at its discretion, accept returns under the following conditions:
- Items must be unused, in their original packaging, and returned within 30 days of delivery.
- Special order or custom products are non-returnable.
- Returns may be subject to a restocking fee (up to 20%) unless due to Seller’s error or defective merchandise.
Buyer must obtain a Return Authorization (RA) number prior to return shipment. Unauthorized returns may be refused.
Refunds will be processed within 5–10 business days after inspection and approval.
5. Warranties
Seller warrants that products will conform to the manufacturer’s standard specifications. Seller does not provide any additional warranties, express or implied, including but not limited to:
- Merchantability,
- Fitness for a particular purpose, or
- Non-infringement.
All warranty claims are subject to the manufacturer’s policies and approval.
6. Limitation of Liability
To the fullest extent permitted by law:
- Seller shall not be liable for indirect, incidental, or consequential damages.
- Seller’s total liability shall not exceed the purchase price of the item giving rise to the claim.
Buyer assumes all risk and responsibility for product use.
7. Product Information
While Seller makes every effort to ensure accuracy, typographical, descriptive, or pricing errors may occur. Seller reserves the right to correct such errors and cancel any affected orders.
8. Compliance and Safety
Buyer is responsible for ensuring products are suitable for their intended use and comply with applicable federal, state, and local safety regulations.
9. Governing Law
These Terms shall be governed by the laws of the State of [Your State], without regard to conflict of law principles. Any dispute shall be brought exclusively in the state or federal courts located in [Your County, Your State].
10. Entire Agreement
These Terms, together with Seller’s invoice and any authorized written agreements, constitute the entire agreement between the parties and supersede all prior communications.
